Terms of Service
The terms governing your use of our website and engagement of our corporate services. Effective date: 1 January 2026.
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you and Meridian Corporate Services Ltd ("Meridian", "we", "us") governing your use of our website and purchase of our services, including company formation, registered office, company secretarial, accounting, VAT, banking-introduction, dissolution and restoration services. By engaging our services or using this website you accept these Terms.
2. Our Services
We act as your agent for the preparation and filing of documents with Companies House, HMRC and other bodies, and provide related advisory and administrative services as described on our Services page. We are a corporate services provider; we are not solicitors acting for you in contentious matters and do not provide investment advice. Where your matter requires a solicitor, we engage our independent solicitor partners with your consent.
Filing outcomes are decided by the relevant authority. We guarantee the accuracy and timeliness of our preparation and submission, but cannot guarantee decisions made by Companies House, HMRC or banks.
3. Your Obligations
You agree to: provide accurate and complete information and documents; complete identity verification as required by the Money Laundering Regulations 2017; respond promptly to our requests; ensure your company's activities are lawful; and inform us of any change in your circumstances that affects the services (for example, changes of director, address or shareholding).
We may decline or suspend services where information provided appears inaccurate, where identity verification cannot be completed, or where your instructions would cause us to act unlawfully.
4. Fees and Payment
Fees are as published on our website or as quoted to you in writing. Government fees (for example, Companies House filing fees) are itemised separately and paid on your behalf. Formation fees are payable in advance; monthly services are billed in advance monthly or annually, with a 10% discount on annual plans.
If a payment fails, we will notify you and allow five working days to remedy before suspending non-urgent work. Statutory deadlines will still be met where possible, and outstanding balances may be recovered by a debt-collection agency. All prices include VAT where applicable.
5. Cancellation and Refunds
Monthly services may be cancelled with 30 days' written notice; you remain responsible for fees to the end of the notice period. Formation fees are non-refundable once an application has been submitted to Companies House, except where a filing error is attributable to us, in which case we refile free of charge and refund the government fee.
Registered office fees are refundable pro-rata for the unused remainder of a paid term if you transfer away from our address and we have no outstanding obligations. Statutory mail forwarding continues until the register is updated.
6. Registered Office Service
While our address is your registered office, we scan official government correspondence to your portal within one working day of receipt. We do not accept general commercial mail unless agreed in writing. You must keep your contact details current; we are not responsible for undelivered notifications caused by outdated details. On termination, we file the address change or cooperate with your new provider.
7. Limitation of Liability
We provide our services with reasonable skill and care. Our total liability arising out of or in connection with the services is limited to the fees paid by you for the specific service giving rise to the claim, except where liability cannot lawfully be limited (including death or personal injury caused by negligence, fraud, or breach of statutory duty). We are not liable for indirect or consequential losses, or for outcomes determined by third parties such as Companies House, HMRC or banks.
Professional indemnity insurance is maintained at £2 million per claim.
8. Data Protection
We process personal data as described in our Privacy Policy, which forms part of these Terms. Identity documents are processed for anti-money-laundering purposes and retained as required by law.
9. Intellectual Property
All content on this website — including text, design, graphics and the Meridian name and logo — is owned by or licensed to us and protected by intellectual property laws. Documents we prepare for you (for example, articles of association) may be used by you for your company's purposes; you may not resell our website content or materials.
10. Changes to These Terms
We may update these Terms to reflect changes in law or our services. The current version is published on this page with its effective date. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer rights you may have in your country of residence.
